1. These terms
These terms govern your use of Gift Card Generator ("the App"), provided by Software Etc. Limited, a company registered in England and Wales under company number 17455166 ("we", "us").
By installing or using the App you agree to these terms. If you do not agree, uninstall the App.
If you are accepting on behalf of a business, you confirm you have authority to bind that business.
Schedule 1 (Data Processing Agreement) forms part of these terms.
2. The service
The App creates gift cards in your Shopify store in bulk, and produces an encrypted file containing the resulting gift card codes for you to download.
Gift cards created by the App are standard Shopify gift cards, created in your store, and belong to you.
3. Your responsibilities
You are responsible for:
- the accuracy of what you enter, including denominations, quantities, currency and expiry dates
- reviewing the confirmation screen before creating a batch
- the security of any export file you download, and of the password shown to you
- how gift card codes are distributed, and to whom
- ensuring your use of the App complies with law applicable to you
4. Gift card codes, retention and risk
Gift card codes should be treated as cash. A code can be redeemed by whoever holds it, and no check is made on who presents it.
Risk in gift card codes passes to you on download. From the moment you download an export file you are responsible for the security of that file, the password protecting it, and every code it contains — including how, and to whom, those codes are subsequently distributed.
We accept no liability for any loss of value arising from codes after download, however caused, including where codes are lost, stolen, copied, intercepted, disclosed, redeemed by a person not entitled to them, or used fraudulently. Codes will not be replaced, and no value will be reimbursed.
Codes are deleted seven days after a batch is created. You may also delete them sooner. Once deleted they cannot be recovered by us or by you.
The file you download is your only copy of record. You are responsible for retaining it securely. We are not able to reproduce codes after deletion, and we accept no liability arising from your not having retained a copy.
Export files may be downloaded a limited number of times per batch, as stated in the App. Export passwords are shown once and are not stored by us; we cannot retrieve or resend a password.
If codes are compromised, the App provides a batch deactivation function. Deactivation stops every gift card in that batch in your Shopify store, including any codes already distributed to and held by legitimate recipients. It cannot be applied to part of a batch.
Whether to deactivate is your decision, and you are responsible for making it and for acting promptly if you do. We accept no liability for the consequences of deactivating a batch, or of not deactivating one.
5. Expiry dates
The App allows you to set an expiry date on gift cards.
Gift card expiry is restricted or prohibited in a number of jurisdictions and the rules differ by region. You are solely responsible for determining whether an expiry date you set is lawful in every place you sell. We provide the facility; we do not advise on its use, and we accept no liability arising from an expiry date you choose to set.
6. Plans, fees and passcodes
The App offers a free tier and a paid subscription. Current limits and prices are shown in the App and on the App Store listing.
Fees are billed through Shopify and are subject to Shopify's billing terms. We do not collect payment directly.
If your subscription ends you revert to the free tier. You retain access to existing batches for their normal retention period, and the ability to deactivate any batch is unaffected.
We may issue a passcode granting access at no charge. A passcode is granted at our discretion, is not transferable, and may be revoked at any time. Revocation does not affect your ability to access existing batches or deactivate them.
7. Availability
We aim to keep the App available but do not guarantee uninterrupted or error-free operation. We may suspend the App for maintenance, and may modify or discontinue features.
The App depends on Shopify's APIs. We are not responsible for failures, changes or restrictions arising from Shopify.
8. Batch processing
Gift cards are created individually through Shopify's API. The App verifies that every card in a batch exists before releasing an export file, and a batch that cannot be verified is reported as a partial failure and no file is released.
This is a control, not a guarantee. We do not warrant that any batch will complete successfully, and our liability for a failed or partial batch is limited as set out in section 12.
9. Gift card value is your liability
Gift cards created through the App are issued by you, in your store, and represent an obligation of your business to the holder.
We are not a party to any gift card, and we accept no liability for the value of any gift card — whether redeemed, unredeemed, duplicated, lost, stolen, fraudulently obtained, or redeemed by a person not entitled to it.
If an export file is compromised, the App provides a batch deactivation function, subject to the limitations described in section 4. Whether and when to use it is your decision.
10. Acceptable use
You must not use the App to create gift cards fraudulently or unlawfully, attempt to circumvent its limits or access controls, access another merchant's data, or interfere with its operation or security.
We may suspend or terminate access where we reasonably believe these terms have been breached.
11. No warranty
The App is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, conditions and representations not expressly set out in these terms, whether express or implied.
12. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that:
(a) We are not liable for loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss or corruption of data, or any indirect or consequential loss, however arising.
(b) We are not liable for the value of any gift card, as set out in section 9.
(c) Our total liability arising out of or in connection with these terms, in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid us in the twelve months before the claim arose, or £100, whichever is greater.
You acknowledge that these limits are reasonable given the fees charged, and that you are able to insure against, or otherwise manage, risks arising from the value of gift cards you issue.
13. Indemnity
You will indemnify us against claims, losses and costs arising from your use of the App in breach of these terms, gift cards you issue, expiry dates you set, or your distribution of gift card codes.
14. Term and termination
These terms apply while the App is installed. You may terminate by uninstalling.
We may terminate or suspend access on notice, or immediately for breach.
On termination, data is deleted as described in the Privacy Policy and Schedule 1. Gift cards already created in your store are unaffected and remain your obligation.
15. Changes
We may change these terms. Material changes will be notified in the App or by email. Continuing to use the App after a change takes effect constitutes acceptance.
16. General
Entire agreement. These terms, with Schedule 1 and the Privacy Policy, are the entire agreement between us.
No waiver. A failure to enforce a term is not a waiver of it.
Severability. If a provision is found unenforceable, the remainder continues in effect.
Assignment. You may not assign these terms without our consent. We may assign them on notice, including as part of a sale of our business.
Third parties. No person other than you and us has any right to enforce these terms.
Governing law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
